			<content:encoded><![CDATA[<p>Private Placement Programs- The Hardest Part of the Process</p>
<p>The hardest thing about Private Placement Programs is following protocol and understanding that it is like no other business out there including the rules and procedures.  Potential clients are expected follow protocol period.  This is not to say that there will be no questions answered or asked.  The overall process is strait forward and the client is never asked to risk any money or put forth any money during the whole Private Placement Programs process.  What they are asked for is information regarding how they are going to enter into the program, how the funds where accumulated, and basic background information.  This is part of the compliance package that will be presented for admittance into the Private Placement Program.  What must also be remembered is that the vetting and compliance is done on the client, not the other way around.  These programs are private and by invitation only.  Vetting is done before hand on the client before they ever get to the platforms compliance department.  After the client has passed compliance (3-5 days), they receive a call from the platform directly. The platform does not speak with any brokers, but will pay them upon the client signing the contract and entering into a trade through weekly distributions.  The compliance process is quick and easy.  What they do is make sure that all of the information that is presented is correct and accurate, along with background checks, and sourcing of the funds.  It is also VERY important that the compliance package is filled out completely and “wet” signed in BLUE ink by the owner of the asset or funds.</p>
<p>The main points to realize are that:</p>
<ul>
<li>This is not like normal typical business transactions</li>
<li>It is a privilege to enter into the program</li>
<li>The client is vetted and expected to follow protocol</li>
<li>This marketplace is strictly private and confidential</li>
<li>All documents must be dated within 3 days of submission to the platform and all paperwork must be “wet” signed in Blue ink by the owner of the funds or asset…Period!</li>

			<content:encoded><![CDATA[<p>Private Placement Platforms and Private Placement Programs</p>
<p>I just wanted to write a little bit today about Private Placement Platforms and Private Placement Programs. Typically Private Placement Platforms and Private Placement Programs are used interchangeably, but they are not necessarily the same. Private Placement Platforms are a specific trading program that a platform operates. A Private Placement program can be the same thing, but can also mean what any program that is not available to the public. This brings Private Placement Programs under a much larger umbrella of investments, whereas Private Placement Platforms are very specific. Private Placement Platforms trade senior fresh cut debt which are Medium Term Notes (MTN’s ). The will contract with an individual investor and is pretty standardized with paperwork and protocols.</p>
<p>There are a few protocols that have come up in some of my recent dealings that are very important to adhere to. The first being that all documents must be “wet” signed in blue ink by the individual applying to be part of the program on the compliance docs. Scanned signatures do not work. The second is that all dates on all the documents must be new. 5 days is usually the max that is allowable. A lot of times anything past 3 days is considered old. This means that you get the hardest documents first, usually the ones that require bank signatures, before you sign the rest of the compliance documents. An example of this would be to have all the compliance documents filled out and then when you get your Proof of Funds (POF )Letter and/or your Ready Willing and Able (RWA) letter from the bank, you just date the compliance docs that you have already put the bulk of the information. Print them out, sign them, and send them in. This is pretty simple, but you would be surprised that people show docs that are dated over the course of a month and then act like they have submitted a valid compliance package. Dates and original signatures are very important in this business, and any other contracted business. Please keep this in mind whenever submitting a compliance package. 			<content:encoded><![CDATA[<p>Private Placement Trading and Real Private Placement Platforms</p>
<p>I wanted to write a little bit today about Private Placement Trading, which is Private Placement Programs and more specifically Private Placement Platforms. There are a lot of people that run different operations in the Private Placement realm that call themselves Private Placement Programs that are not Private Placement Platforms (PPP). This is done for a variety of reasons, but we need to distinguish what is a real Private Placement Platform, which runs Private Placement Programs that involve Private Placement Trades and more specifically the arbitrage buying and selling of Medium Term Notes (MTN’s) or Euro Medium Term Notes.</p>
<p>Real Private Placement Platforms only trade MTN’s and they do this by arbitrage. What arbitrage means is that the buy and sell contracts have to be “in hand” before the trade of the discounted MTN’s take place. This is the safest way to trade because the deal is done before the deal takes place. This is all done by the trader for the Private Placement Platform.</p>
<p>The way that the client/investor comes into play is that the trader for the Private Placement Platform (PPP) has to be backed by cash in order to access his credit line to do the trade. The other qualification is that the trader has to trade by arbitrage, meaning having the buy/sell contracts in hand.  This is a real managed buy/sell Private Placement Platform.</p>
<p>Beware of any supposed Private Placement Platform, or Private Placement Program, that claims to be in another area of the market. These can be Private Placement investments, meaning that they are not offered to the general public, but they are not true Private Placement Platforms. And in my opinion, they are not Private Placement Programs.   I know that you my think that this is trivial, but it is not when it comes to risk. Any type of investment that falls outside of doing arbitrage trades adds significant risk to the deal.  This is the difference between wholesale investing and retail investing. Retail is much more risky and a lot of the times pays less in returns.  The retail investments are open to the public and advertised to the masses. The wholesale investments are private and cannot be advertised or solicited to the public. They must be run in the private realm.</p>

			<content:encoded><![CDATA[<p>Private Placement Trading</p>
<p>Private Placement Trading is one of the most lucrative areas of the investment realm. Private Placement, in general, refers to private transactions amount two parties and usually a middle facilitator or intermediary. Private Placement Trading is a more defined area. Private Placement Trading is typically dealing with Medium Term Notes (MTN) or something of the sort (paper).Private Placement Trading is based on the Fractional Reserve Banking system, which all banks are based on. Private Placement Trading is not hard to understand once you grasp how the fractional reserve banking works and how it is directly tied to Private Placement Trading. It is what all banking is based on. The only difference is the scale at what takes place with Private Placement Trading.</p>
<p>Here is an over simplified explanation of how these Private Placement Programs operate and how Private Placement Trading takes place in the safety that they offer.</p>
<p>Before speaking of Private Placement Programs and Private Placement Trading (as follows called PPP) we need to realize some basic reasons for the existence of this business. It means that there is a need to learn some basic concepts about what money really is, and about how money is created, and how the demand for money and credit can be controlled, and that someone can issue a debt note which can be discounted and sold, and resold in an arbitrage transaction (the basic system for running most of these programs), etc.</p>
<p>The first reason why this business exists is to create money. More money is created by creating debt. You as an individual can lend out $100 to a friend, and you can make an agreement that the interest for that loan is 10% so that he must pay you back $110. What you have done is to actually create $10, even though you don&#8217;t see that money. Don&#8217;t consider the legal aspects of such an agreement, just the facts. Now, the banks are doing this every day, but with much more money. Banks have the power to create money out of nothing. Since PPO (&#8220;Private Placements Opportunities&#8221;) involves trading with discounted bank issued debt instruments, money is created due to the fact that such instruments are deferred payment obligations (debts). Money is created out from debt.</p>
<p>Theoretically, any person/ company/ organization can issue debt notes (don&#8217;t look at the legal aspects of it). Debt notes are deferred payment liabilities. Example: A lawful person (individual/company/organization) is in need of $100 so he writes a debt note for $120 that matures after 1 year, which he then sells for $100 (this is called &#8220;discounting&#8221;). Theoretically the issuer is able to issue as many such debt notes at whatever face value he wants &#8211; as long as there are those that believe that he&#8217;s financially strong enough to honor them upon maturity, and thereby is interested to buy such debt notes.</p>
<p>Debts notes like Medium Terms Notes (MTN), Bank Guarantees (BG), Stand-By Letters of Credit (SBLC), etc. are issued at discounted price by some of the major world banks in a very large amount of billions USD every day.</p>
<p>There is an enormous daily market of discounted bank instruments like MTN, BG, SBLC, Bonds, PN, etc. involving issuing banks and long chains of exit-buyers (Pension Funds, large financial institutions, etc.) in an exclusive Private Placement arena.</p>
<p>The real core of the trading and its safety is due to the fact that they arrange the buy-sell transactions as arbitrage, which means that the instruments will be bought and sold at the same time with pre-defined prices, and that a chain of buyers and sellers are contracted, including the exit-buyers who often are institutions, other banks, insurance companies, big companies, or other wealthy individuals</p>
<p>Let&#8217;s say that you&#8217;re offered the chance to buy a car for $30K and that you also find another buyer that is willing to buy it from you for $35K. If the buy-sell transactions are done at the same time, then you don&#8217;t have to spend $30K and then wait to earn the $35K since it can be done at the same time you cash in $5K in profit. However, you must still have that $30K and prove that you&#8217;re in control of it.</p>
<p>Arbitrage transactions with discounted bank instruments are done in a similar way. The involved traders never spend the money, but they must be in control of it, and the investor&#8217;s principal is reserved directly for this.</p>
<p>For an investor it is much simpler (and usually more profitable) to enter a program where the Trader with his Trading Group has already everything in place (the issuing banks, the exit buyers, the contracts ready for the arbitrage transaction etc.) and the investor needs only to agree with the contract proposed by the Trader and trust associated to the program.</p>
<p>After understanding how private placement trading works and how it is tied in with fractional reserve banking, then next obstacle is to figure out how to get into a Private Placement Trading Platform. This can be the most difficult part of the whole process. A lot of people say that they have access, but in all reality they do not. Private Placement Trading is just that, Private! So it takes time for people to be able to break into the field. You have to be dealing with the right people that have real access. At least one person in the group should have personal experience in closing these deals, or you will be spinning your wheels for a long time. Preferably you will deal with someone that has personally invested in them. It is not rocket science, but it must be understood up front that the client in a Private Placement trade is applying to be part of the platform. That means submitting the required documents in order to be considered.</p>

			<content:encoded><![CDATA[<p>            Private Placement Programs are, in my opinion, one of the best investments possible.  Private Placement Programs (PPP), are very vast in what they can entail, but I’m going to specifically speak about the Private Placement Programs that are Trading Platforms. </p>
<p>            Private Placement Programs that are Trading Platforms deal with the buying and selling of Euro Medium Term Notes (MTN).  In some cases, other fresh cut notes.  It is not hard to understand what it is that they do to achieve the type of returns in which they get.  From the clients point of view, they are just contracting with the Platform to allow the facilitation of the buying and selling of the MTN’s.  These buy/sell transactions have to be lined up before the trader can access his line of credit.  There are two things that must happen first before the trader can access his line of credit.</p>
<p>1.)    It must be backed by Cash or an instrument in some cases (This is where the client comes in)</p>
<p>2.)    The trader has to have the buy and sell contracts “in hand”.  This is also referred to as “Arbitrage”.</p>
<p>So without the trader having the trade done, he cannot access his line of credit which is cash backed by the client.  This is important from the clients’ point of view, because it eliminates the traditional risk that is associated with other types of investments.</p>

		<description><![CDATA[This post discusses what is expected out of the participants in Private Placement Programs and what they should expect in return when looking at Private Placement Platforms as a superior investment vehicle.<img alt="" border="0" src="http://stats.wordpress.com/b.gif?host=tssprivateplacement.wordpress.com&amp;blog=6297817&amp;post=83&amp;subd=tssprivateplacement&amp;ref=&amp;feed=1" width="1" height="1" />]]></description>
			<content:encoded><![CDATA[<p>    Private Placement Programs and all Private Placement, as a generality, require that client be presented to the trade platform or provider.  This presentation consists of a Client Information Summery (CIS), Color Copies of their Passports, and Proof of Funds (POF).  This is the case in all private placement business.</p>
<p>    This is in stark contrast to the typical retail investments that are available to the public.  The typical retail investments are allowed to market to the general public, required to show a prospectus, and a litany of other regulations that they must abide by.  The Private Placement Investments are specifically that, private! There are a variety of different Private Placement investments, but they all have some things in common.  </p>
<p>1.)    The programs and anyone between them (brokers or intermediaries) are not allowed to solicit for business.  This, for all intents and purposes, means that they cannot market and have to be contact by the client.  This is done by the client contacting someone that has access to the private placement program.</p>
<p>2.)    The client must submit documents to be considered for acceptance into the program.  The client will have to screened through the compliance department prior to speaking with the platform or provider (if dealing with currency or MTN’s)</p>
<p>3.)    After compliance is passed, and only if so, the platform or provider will contact the client directly.  The brokers or intermediaries are completely out of the conversation at this point.  The platform and potential client will go over the particulars.  If everything is understood and agreed to, the platform or provider will issue a contract stating the terms.</p>
<p>    It is really not rocket science to understand all of this, it just takes trusting who you are working with that they have real access to a program.  If they do, they will get you through the whole process in less than 25-30 days on the platform side and 10 days max on the provider side.  This all depends on what kind of private placement you are going into. Regardless if they have a broker with real access or not, they should not risk a single dime, as they do not move any funds out of their own account.  This is in specific reference to platforms.  If they are dealing with a provider, the client is taking possession of MTN’s and would obviously have to purchase them to do so.  This is usually preformed bank to bank by screen to screen.</p>

			<content:encoded><![CDATA[<p>Private Placement Programs are for the most part easy to get into. But Protocols must be followed and there are some things that do prevent someone from actually getting into a Private Placement Program.  The main thing that has to be understood in any Private Placement Program is that the potential client has to apply to be part of the Private Placement Program.  They do not solicit for business, as this is a non-solicitation private transaction.  I have compiled some of the main issues that have come up with someone that does not qualify to be part of a Private Placement Program.</p>
<p>The most common reasons why investors are never able to enter this, kind of trading are often because:</p>
<p>- They don&#8217;t have enough money.</p>
<p>- They don&#8217;t have the money in an acceptable bank.</p>
<p>- They don&#8217;t have full control of the money (or of the bank instruments).</p>
<p>- They don&#8217;t have a good explanation of the origin of the money.</p>
<p>- They don&#8217;t have cash or they don&#8217;t have workable assets.</p>
<p>- They try to proceed according to their own rules.</p>
<p>- They do not follow the required procedure.</p>
<p>- They do not collaborate enough with the Trading Group.</p>
<p>- They delay the delivery of documents or send non-confirmed documents.</p>
<p>- Their identity cannot be confirmed.</p>
<p>- They are blacklisted or under investigation.</p>
<p>These are that main things that have come up when a potential client has not been able to pass compliance.  These are items that one must understand and be able to comply with in order to pass compliance. </p>

<p>Private placement that deal with private placement memorandums are a good way to get your feet wet in the private placement arena of private placement investing, which is the wholesale side of the investment world.  Private placement memorandums offer a private investor a way to get into a company, prior to the company going public.  This is a great way to make good returns if you are just getting into the wholesale side of the investment world.  It is not my favorite though, and we will now talk about private placement programs that deal with the platform side.</p>
<p> </p>
<p>Private placement programs that are offered from a trading platform are the most effective and safest way to go with any investment, in my humble opinion.  This is the way that it works.  The client submits documents to be accepted into the platform.  If the client passes compliance, they are offered a contract from the trading platform/financial institution.  It does not require that the client move their funds, as long as it is currently in a top 25 western European or US bank. The financial institution then uses the funds on their balance sheets to make large commercial loans. Ie- New paper created in loans.  They then sell off the paper at a discount of face value creating a profit which is then shared with the client. These profits are paid out weekly, or whatever was agreed to upfront on the contract that was signed by both parties. The reason that they can do this is called fractional reserve banking. All banks operate from this. Simply put, it allows the banks to leverage out in loans a certain multiple of what they can show on their books.  This varies from country to country.</p>
<p>Some things to understand:</p>
<p>- This is a non-solicitation private transaction</p>
<p>- Client must apply to be part of the program</p>
<p>- Protocols must be followed and should be laid out upfront</p>

			<content:encoded><![CDATA[<p>The thing to remember with all Private Placement Trading is that these are private transaction.  With that being said, private placement trades are not disclosed to the public.  This is even the case if one of the parties in the Private Placement Trade is a publically traded company.  Private Placement Trading is, for all intents and purposes, private party contracts that have the same non-disclosure and confidentiality clauses as would a normal business to business contract would have in them.  Just because one of the parties in the private placement trade may or may not be a publically traded company does not matter when it comes to public disclosure.  The opposite is actually true in many instances that the two parties that are involved in the Private Placement investment are not allowed, per the contract, to disclose what the contract says or anything about the contract in the Private Placement trade, or even their business to business relationship. Welcome to the wonderful world of wholesale investing.  This is in stark contrast to the retail end of the arena, where public disclosure is not only required but is also mandated by law.  Anyone who has the wherewithal to be qualified financially for the private placement investments and private placement trades must follow the rules.  Just because you have the money, doesn’t mean that you will be accepted into the program and can pass compliance.  The really neat thing about private placement investments, at least when it comes to private placement trades,  is that risk are mitigated by the contract and there are no upfront fees required to get a contract and see what would be offered, after being accepted into the Private Placement Program.</p>

			<content:encoded><![CDATA[<p>In Private Placement Investments, the use of Leased or Borrowed funds is forbidden.  This is at least the case in the Private Placements Investments that deal with Medium Term Notes or any of them that deal with the Private Placement Trading of notes.  The reason that you cannot use borrowed or leased funds and or instruments, in the private placement investments is because in Private Placement Investing they source the funds.  If you were allowed to use Leased Instruments for example, everyone and their family would be investing in this highly exclusive wholesale side of the investment world, also known as Private Placement Investing.  Private Placement Investing, whether you are talking pre IPO or Institutional Buy/Sell Contracts, is just that; Private.  With it being Private, it is everything Private.  Private Equity, Private Contracts, Private Disclosures and Private confidentiality clauses.  It makes complete sense if you really sit back and analyze the whole picture. </p>
<p>One factor in the whole picture is that it is Private Equity in these Private Placement Investments, or Private Placement Trading.  The financial institutions are not allowed to do it amongst themselves, or they would just keep it as a higher financial tool amongst themselves.  Being that they are not allowed to do it amongst themselves, which also makes complete sense, they need deposits on their books to be allowed to loan out money against them.  Therefore, this is when the Private Placement Investor comes in and contracts with them to do just that.  The Private Placement Investor doesn’t need to move his funds to that specific bank, he just cant deplete the account lower than the amount that is contracted to be used.  This is the wholesale investment side of investments and is reserved for those who qualify, have the wherewithal, and play by the rules.</p>
<p>I have recently been asked a whole lot of questions about accepted leased instruments and the like into Private Placement Investments.  This is where the scam artist are cleaning house.  This is how it goes.  The scam artist will advertize (which is also illegal) that they will lease $500M Chase CD’s for a small modest fee upfront so that the investor can take that CD into a Private Placement Trade or Private Placement Investment.  So the investor buys the $500M Chase CD and attempts to use it as entry into a private placement trade, for let’s say $250k &#8211; $500k upfront no refunds.  The only issue is that part of the compliance documents ask: “Are these funds free and clear?”, “Is this instrument leased?”,  “Are these funds borrowed?”.  If you answer these questions truthfully, you will be disqualified as there are no borrowed or leased funds allowed to be traded in private placement trades.  The other issue with this is that Chase does not issue $500M CD’s. (I got this while verifying one once)  This would be like borrowing from one credit card to pay off another.  It is leveraging too much and is not allowed in the wholesale investment arena.  Furthermore, if you lie in the compliance documents, you will be ban from all private placement investments that deal with the small exclusive group of people that do them.  You see, as part of the compliance process the funds are sourced and they do full back ground checks.  So when the compliance department is looking over the documentation, they are just verifying what they already know.  So there is no point in trying to “pull one over” on them when applying to be part of the wholesale, exclusive arena of private placement investments.  There is no point, because you will not get anywhere and you have the possibility of being ban for life.</p>
